Terms of Service for the E-Document System or the www.e-geree.mn Platform

These Terms of Service define the conditions and requirements under which “Smart Contract Mongolia” LLC (hereinafter referred to as the “Service Provider”) provides electronic document system services to Customers, and specify the rights and responsibilities of parties related to the use of the electronic document system www.e-geree.mn.

1. DEFINITIONS

• 1.1 “Electronic Document System” means an information technology system utilizing advanced technology that allows a Customer, whether an individual or a legal entity, to create an account on the www.e-geree.mn platform, verify personal information via the DAN system, and create all types of documents electronically using their electronic or digital signature;
• 1.2 “Electronic Document” means any type of document or agreement that a Customer inputs accurately into the www.e-geree.mn system and can create with the other party using the electronic document system;
• 1.3 “Registration” means that an individual or legal entity has reviewed these Terms of Service and has become a Customer of the electronic document system by verifying personal information via the DAN system;
• 1.4 “DAN system” means a platform-based authentication system that provides the ability to recognize and verify individuals and legal entities to access all kinds of services electronically, and which operates in close connection with independent private and government service systems;
• 1.5 “Customer” means an individual or legal entity who has reviewed these Terms of Service, verified personal information through the DAN system, registered on the electronic document system, and uses the www.e-geree.mn platform to create documents and agreements with other parties;
• 1.6 “Service Provider” means “Smart Contract Mongolia” LLC, which continuously develops the www.e-geree.mn platform and provides the electronic document system service that enables Customers to freely express their will and enter into any documents or agreements on an equal civil legal basis, ensuring the normal operation and conditions of this service;
• 1.7 “Electronic Signature” means a signature defined under the Civil Law and the Law on Electronic Signatures, specifically the signature described in Article 4.1.10 of the Law on Electronic Signatures.

2. REQUIREMENTS FOR CUSTOMERS

• 2.1 A Customer must be a citizen of Mongolia or the relevant country, who is at least 18 years old and has legal capacity to acquire rights and obligations under applicable laws on the date of accepting these Terms of Service.
• 2.2 The Service Provider will verify the legal capacity of the Customer based on submitted documents and information but is not responsible for verifying legal capacity under foreign laws.
• 2.3 By clicking the “Accept” button below, the Customer is deemed to have fully accepted these Terms of Service.

3. ADVANTAGES OF THE SERVICE

• 3.1 Customers can create documents and agreements remotely and electronically, saving time, paper, document transportation costs, and supporting green governance and environmental sustainability.
• 3.2 Through the www.e-geree.mn platform or Electronic Document System, Customers can store any documents and agreements made with third parties using blockchain technology in an immutable digital format that cannot be deleted, damaged, or altered at any time.

4. REGISTRATION AND CHANGES

• 4.1 A Customer can create an account and obtain login rights after verification through their email address. Customers can register and use the system by providing the following information:
• Residential address
• DAN system verification
• Phone number
• Electronic signature verification
• 2FA (Two-factor authentication) verification
• 4.2 The Service Provider collects the above information for purposes such as Customer identification, product and service delivery, complaint resolution, information security, compliance, and legal obligations.
• 4.3 Customers can update the following information in the “Profile” section:
• Login password
• Phone number
• If a legal entity, the representative’s full name and position.

5. CUSTOMER DECLARATIONS AND WARRANTIES

• Customer’s Declarations and Warranties
• 5.1 The Customer acknowledges and fully understands the following and agrees to them, based on which the Service Provider provides the requested services:
• 5.1.1 The Customer has fully read and understood these Terms of Service;
• 5.1.2 The Customer fully understands the legal and other consequences arising from clicking the “Accept” button below;
• 5.1.3 The Customer is not using this service for any fraudulent or deceptive purpose;
• 5.1.4 The Customer has full legal capacity to participate in this civil legal relationship;
• 5.1.5 The Customer is not under mental incapacity, unable to understand the consequences of their actions, nor under temporary mental disorder;
• 5.1.6 The Customer has obtained all necessary consents or does not require such consents;
• 5.1.7 The Service Provider may charge the Customer fees for using this platform;
• 5.1.8 The Customer does not violate Mongolian or international laws, regulations, or conventions applicable to this service;
• 5.1.9 The Customer agrees that they cannot hold the Service Provider liable for any damages caused by their own wrongful acts or omissions;
• 5.1.10 The Customer is responsible for safeguarding their login credentials and acknowledges that the Service Provider is not liable for damages arising from loss of credentials;
• 5.1.11 By accepting these Terms of Service and clicking the “Accept” button, the Customer confirms entering into a legal relationship with the Service Provider.
• Service Provider’s Declarations and Warranties
• 5.2 The Service Provider declares and warrants the following, and the Customer uses the service based on these statements:
• 5.2.1 The Service Provider is a limited liability company established and operating under the laws of Mongolia;
• 5.2.2 The Service Provider provides services not prohibited by Mongolian law;
• 5.2.3 The Service Provider uses internationally accepted technology not prohibited by relevant authorized bodies in Mongolia;
• 5.2.4 The Service Provider will protect the Customer’s rights within applicable laws.
• 5.3 This electronic document system aims to provide individuals and legal entities with necessary legal information using advanced technologies and artificial intelligence, facilitating easy, fast, and cost-effective delivery of legally compliant documents.

6. PAYMENT METHODS

• 6.1 The Customer can pay for the service through Qpay, Social Pay offered on the Platform, as well as through the account for earning and spending virtual assets. In the transaction value, write your full name, registration number, or ID and registration information registered in this electronic document system.
• 6.2 The Customer shall be deemed to have fully accepted the Service by accepting these Terms of Service, entering into documents and transactions with its other customers using the electronic document system, and paying for the Service.

7. CUSTOMER PERSONAL INFORMATION REGULATION

• 7.1 The personal information provided by the Customer will be used within the principles and regulations stipulated by the Law on Protection of Personal Information. By using this Service, the Customer grants the Service Provider full rights to use their personal information within the purpose and scope of these Terms and Conditions.
• 7.2 As long as the Customer 'accepts' these Terms and Conditions and uses the service, the Customer’s personal information will be used to fulfill the purpose and direction of the service, and the Service Provider will not disclose the Customer’s personal information for any other purposes.
• 7.3 The Service Provider may transfer the Customer’s personal information only to parties necessarily involved in fulfilling the purpose and direction of the service.
• 7.4 If the Customer stops using the service under these Terms and Conditions, and their registered account remains inactive for 5 years, the Service Provider may consider the Customer’s consent to use their personal information revoked and terminate the authorization.
• 7.5 The Customer is deemed to have granted the Service Provider permission to use their personal information by accepting these Terms and Conditions and verifying their registered account.
• 7.6 The Service Provider will carry out all activities related to collecting, processing, using, and protecting the Customer’s personal information in accordance with the Law on Protection of Personal Information.

8. PRIVACY

• 8.1 The Service Provider is prohibited from collecting, storing, protecting, or disclosing the Customer’s personal information in any way other than what is stated in these Terms and Conditions, or sharing it with third parties.
• 8.2 The Service Provider will maintain the security of the Customer’s information and prevent illegal use of signatures and other related personal information.
• 8.3 The Customer is obligated to keep confidential, secure, and protect any information obtained through the www.egeree.mn system (including purchased documents and related terms).

9. RESPONSIBILITIES OF THE PARTIES

• 9.1. After the Customer signs and receives any document posted in the electronic document system, they shall use it only within the scope of these Terms and Conditions. The Customer agrees to fully compensate the Service Provider for any actual damages caused by their own wrongful actions.
• 9.2. The Customer voluntarily accepts these Terms and Conditions and agrees that by using the service, they enter into the relevant document with the other party, and take full responsibility for any consequences. The Service Provider will be fully liable if it uses the Customer’s personal information contrary to the Law on Protection of Personal Information and other laws, causing actual damage.
• 9.3. Both the Service Provider and the Customer may raise complaints regarding these Terms and Conditions and the quality or condition of the service. These will be resolved within a reasonable timeframe according to the purpose and content of these Terms and Conditions.
